1 Introduction & Acceptance
These Terms of Service ("Terms") govern the provision and use of the SalmanBot service ("SalmanBot", the "Service") supplied by Salman for Marketing & E-Commerce ("Provider", "we", "us"), based in Al-Bireh / Ramallah, State of Palestine. The Service is subscribed to by a business ("Client", "you").
By subscribing to, paying for, activating, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by any order form, plan description, or written quotation we provide. If you do not agree, do not use the Service. If you accept these Terms on behalf of a company or organization, you represent that you are authorized to bind it.
2 Definitions
- "Client" / "you" — the business that subscribes to SalmanBot.
- "End-Customer" — any person who contacts the Client on the Client's WhatsApp number and whose messages SalmanBot may read and respond to.
- "Service" / "SalmanBot" — the AI-powered sales and customer-communication assistant that connects to the Client's WhatsApp Business number to automatically read and reply to End-Customer messages, answer questions, assist with sales, log orders, book appointments, and escalate to the Client's human staff.
- "AI Output" — any message, answer, summary, order record, or other content generated by the Service's artificial-intelligence components.
- "Third-Party Platforms" — external services the Service depends on, including Meta's messaging platforms (WhatsApp Business, Messenger, Instagram), our messaging infrastructure provider (currently Zernio, through whose Meta-approved apps channels are connected and messages pass), and the Anthropic (Claude) API.
- "Instance" — the separate Service configuration provisioned for the Client.
- "Subscription Term" — the recurring monthly period for which the Service is licensed.
3 Eligibility
The Service is offered only to businesses and to individuals acting for a business who are at least 18 years old and legally able to enter into a binding contract. You must operate a lawful business and hold any licenses or registrations required for your activity. The Service is not intended for personal, family, or household use.
4 The Service & Its AI Nature
SalmanBot is a software-as-a-service tool that links to the Client's own WhatsApp Business number and uses artificial intelligence to automatically read incoming End-Customer messages and generate replies (typically in Palestinian Arabic), answer product and service questions, help progress and close sales, record orders, schedule appointments, and hand a conversation over to the Client's human staff when appropriate. A separate Instance is provisioned for each Client. The Service runs on Provider's own server infrastructure and on Provider's own Anthropic (Claude) API access; the Client is not required to manage any technical component.
You acknowledge that SalmanBot is an automated AI system. Its responses are generated by a machine-learning model and are not written or reviewed by a human before they are sent, unless the Client configures human review or the conversation is escalated. AI Output can be inaccurate, incomplete, or unsuitable, and the Service is designed to keep a human escalation path available for cases it cannot properly handle. SalmanBot is a business communication and sales tool; it is not a provider of legal, medical, financial, or other professional advice, and its output must not be relied on as such.
5 Provisioning, Setup & Onboarding
After you accept these Terms and pay the setup fee, we will configure and provision your Instance, including connecting it to your WhatsApp Business Account and loading the business information, catalog, pricing, and reply behavior you supply. You are responsible for providing accurate, complete, and up-to-date information for this configuration and for reviewing the configured behavior before going live. Setup work is a one-time service tied to your initial onboarding; further significant reconfiguration may be subject to additional charges agreed in advance.
6 Fees, Subscription, Billing & Renewal
6.1 Setup fee
A one-time setup fee is payable before provisioning begins and is non-refundable once work has started, as set out in the Refund & Cancellation Policy.
6.2 Subscription
The Service is provided on a recurring monthly subscription per Instance, payable in advance for each Subscription Term. The setup fee and subscription amount are as stated in the plan or quotation agreed with you.
6.3 Auto-renewal
Your subscription automatically renews for successive monthly terms until cancelled by either party with at least 3 days' notice before the next renewal date, through the contact channels in Section 22.
6.4 Taxes
All fees are exclusive of any applicable taxes, levies, or duties, which are your responsibility except for taxes on Provider's net income.
6.5 Price changes
We may change the setup fee or subscription price. We will give you at least 30 days' prior notice of any change to your recurring price; the new price applies from your next renewal. If you do not accept the change, you may cancel before it takes effect.
6.6 Non-payment
Fees are non-refundable except where required by law. If payment is not received by the due date, we may suspend or terminate the Service in accordance with Section 18.
7 Client Responsibilities & Warranties
You are solely responsible for how the Service is used on your WhatsApp number, and you represent and warrant that:
- (a) all business information, prices, product details, and policies you provide are accurate and lawful, and you will keep them current;
- (b) you own or are authorized to use the WhatsApp Business number connected to the Service;
- (c) you have a lawful basis and the necessary consent/opt-in from each End-Customer to receive messages and to have their messages processed by an automated assistant, as required by WhatsApp's policies and applicable law;
- (d) you will use the Service only for your own legitimate business communication with your own End-Customers;
- (e) you will not present SalmanBot to End-Customers in a deceptive way, and you will disclose the use of an automated assistant where required; and
- (f) you will maintain the confidentiality of any credentials or access we give you.
You are responsible for the acts and omissions of your staff and for any human handling of conversations escalated by the Service.
8 Acceptable Use & Prohibited Use
You must not use the Service, and must not allow it to be used, to:
- send spam, bulk unsolicited messages, or message any person who has not given a lawful opt-in or who has opted out;
- send or solicit unlawful, fraudulent, deceptive, harassing, defamatory, or discriminatory content, or content that violates the rights (including privacy and intellectual-property rights) of others;
- promote goods or services that are illegal or prohibited by WhatsApp's Business Messaging Policy (including firearms, illegal drugs, adult services, illegal gambling, and multi-level-marketing schemes);
- collect, profile, or exploit End-Customer data beyond what is needed to communicate with that individual, or share it unlawfully;
- attempt to use SalmanBot as a general-purpose AI chatbot (see Section 9), or to reverse-engineer, copy, resell, sublicense, or build a competing product from the Service or its AI components;
- interfere with, overload, or circumvent the security or technical limits of the Service or the Third-Party Platforms.
9 WhatsApp & Meta Platform Compliance
The Service operates on Meta's messaging platforms (WhatsApp Business, Messenger, Instagram messaging) via an approved messaging infrastructure provider, and your use is additionally subject to Meta's terms and policies for each platform, including the WhatsApp Business Solution Terms, the WhatsApp Business Messaging Policy, the Messenger Platform and Instagram Messaging policies, and Meta's AI-related requirements, as updated from time to time. You are responsible for your own platform accounts (WhatsApp Business number, Facebook Page, Instagram account) and for your direct compliance with those policies, including that you:
- (a) obtain and maintain valid opt-in/consent before messaging End-Customers and honor all opt-out requests;
- (b) respect WhatsApp's rules on the 24-hour customer-service window and approved message templates for messages sent outside it;
- (c) keep an escalation path to a human agent available, consistent with WhatsApp's requirement that automated replies offer a route to human support; and
- (d) use SalmanBot only as a business-specific assistant for your own defined purposes (sales, support, orders, bookings, FAQs) and not as an open-ended, general-purpose AI assistant, which WhatsApp's 2026 AI policy prohibits on the platform.
You acknowledge that Meta/WhatsApp may independently throttle, suspend, or terminate your WhatsApp Business Account for policy breaches, and that such action is outside Provider's control (see Section 11).
10 AI Disclaimers
- Imperfect output. AI Output is generated probabilistically and may be inaccurate, incomplete, outdated, or unsuitable, and the same question may produce different answers. You are responsible for reviewing and, where it matters (prices, availability, commitments, appointments, order details), verifying AI Output before relying on it.
- No guarantee of results. We do not warrant any particular sales, conversion, revenue, response quality, or business outcome from using the Service.
- Human-in-the-loop. The Service is designed to escalate to your human staff for matters it cannot handle. You are responsible for monitoring escalations and for correcting or overriding AI Output where needed.
- Not professional advice. AI Output is not legal, medical, financial, or other professional advice and must not be presented to End-Customers as such.
- Your responsibility to End-Customers. As between you and your End-Customers, you are responsible for the messages sent from your number, including AI-generated ones.
11 Third-Party Services & Dependencies
In full transparency: the Service depends on Third-Party Platforms that we do not own or control — currently Meta's messaging platforms (WhatsApp Business, Messenger, Instagram), our messaging infrastructure provider (Zernio) through which channels are connected and messages pass, and the Anthropic (Claude) API — and on internet and hosting infrastructure. Our use of each complies with its applicable terms and usage policies, and we expect the same from you when using the Service. The availability, performance, features, pricing, and policies of these platforms may change, degrade, be interrupted, or be discontinued at any time, and a platform may suspend or ban an account. We are not liable for any interruption, data loss, degraded performance, or loss of access caused by a Third-Party Platform or by its policy changes, outages, rate limits, or enforcement actions. Your use of the Service through these platforms is also subject to their respective terms, and you must not use SalmanBot in any way that would cause Provider or Provider's own accounts (including Provider's Anthropic access) to breach those terms.
12 Data, Privacy, Roles & Confidentiality
12.1 What we process
To operate the Service, our systems process the content of conversations between you and your End-Customers (messages, contact identifiers, orders, and appointments) and store operational records so the Service can function. Details are set out in our Privacy Policy.
12.2 Roles
As between the parties, you are the Controller of your End-Customers' personal data and determine the purposes of processing; Provider processes that data on your behalf and under your instructions (as Processor) to provide the Service. You are responsible for having the lawful basis, notices, and consents required for that processing.
12.3 Third-party processing
You acknowledge that message content is transmitted to the Anthropic (Claude) API to generate AI Output, and passes through Meta's messaging platforms and our messaging infrastructure provider (Zernio), which retains copies of connected-channel conversations to operate the Service, each under its own terms. We do not permit your data to be used to train third-party AI models beyond what is necessary to provide the Service.
12.4 Confidentiality
Each party will protect the other's non-public information and use it only to perform under these Terms.
13 Intellectual Property
As between the parties, Provider owns and retains all rights, title, and interest in and to SalmanBot, including its software, AI configuration, prompts, workflows, know-how, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your paid Subscription Term. You retain ownership of your own business content and of your and your End-Customers' data. You grant us a limited license to host, process, and use that content and data solely to provide, maintain, secure, and improve the Service for you. You may not copy, modify, resell, sublicense, or create derivative or competing works from the Service.
14 Availability, Maintenance & Support
We aim to keep the Service available and will use commercially reasonable efforts to do so, but we do not guarantee any specific uptime, availability, or response time unless a separate written Service Level Agreement is agreed. The Service may be unavailable during planned or emergency maintenance, or due to Third-Party Platform or infrastructure issues. We provide reasonable support through the contact channels in Section 22 during our normal business hours.
15 Warranty Disclaimer
Except as expressly stated in these Terms, the Service and all AI Output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation, to the maximum extent permitted by applicable law.
16 Limitation of Liability
To the maximum extent permitted by applicable law:
- (a) neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, sales, data, or goodwill, however arising;
- (b) Provider's total aggregate liability arising out of or relating to the Service and these Terms will not exceed the total fees paid by you to Provider in the 3 months immediately preceding the event giving rise to the claim; and
- (c) Provider has no liability for any loss caused by a Third-Party Platform, by AI Output you failed to review, by your breach of these Terms, or by your non-compliance with WhatsApp/Meta policies or applicable law.
Nothing in these Terms excludes liability that cannot be excluded under applicable Palestinian law.
17 Indemnification
You will indemnify, defend, and hold harmless Provider and its personnel against any third-party claim, loss, damage, fine, or expense (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your breach of these Terms or of any WhatsApp/Meta or other Third-Party Platform policy; (c) content, prices, or business information you supplied; (d) your messaging of End-Customers without a lawful basis or valid consent; or (e) your violation of any law or of any third party's rights.
18 Suspension & Termination
18.1 By you
You may cancel at the end of any monthly Subscription Term with notice under Section 6.3.
18.2 By us
We may suspend or terminate the Service, in whole or in part, immediately and without liability, if: (a) you fail to pay when due; (b) you breach these Terms or the Acceptable Use or platform-compliance sections; (c) a Third-Party Platform requires it or your platform account is suspended/banned; (d) your use exposes Provider, its accounts, or third parties to legal, security, or reputational risk; or (e) required by law. Where practical and appropriate we will give notice and an opportunity to cure.
18.3 Effect of termination
On termination, your right to use the Service ends, we will deactivate your Instance, and each party will stop using the other's confidential information. We will make your data available for export on request for 14 days, after which we may delete it in the ordinary course, subject to legal retention requirements. Fees already due or paid are not refunded except where required by law. Sections that by their nature should survive (including IP, disclaimers, liability, indemnification, and governing law) survive termination.
19 Changes to the Service & Terms — Continuous Development & Beta Features
We may modify, improve, or discontinue features of the Service, and we may update these Terms to reflect legal, technical, business, or Third-Party Platform changes. For material changes we will give reasonable prior notice (for example, by email, WhatsApp, or a notice on sllmall.com). Your continued use of the Service after the effective date constitutes acceptance; if you do not agree, you may cancel before it takes effect.
Important note — continuous development: the Service is under continuous development and improvement, and from time to time we may launch new features, channels, or services designated as Beta/experimental. Beta features are provided "as is" for evaluation, may change, be limited, or be discontinued at any time, and do not by themselves create any right to compensation or refund; they never reduce the core paid services of your plan. We strive to keep you informed of updates and to preserve the stability of the core Service throughout development.
20 Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Palestine, without regard to conflict-of-laws rules. The parties will first attempt to resolve any dispute amicably through good-faith negotiation via the contacts in Section 22. If unresolved within 30 days, the dispute will be submitted to the competent courts of Ramallah / Al-Bireh, Palestine, which will have exclusive jurisdiction.
21 General
These Terms, together with any order form and the Privacy Policy, are the entire agreement between the parties and supersede prior discussions. You may not assign or transfer your rights without our prior written consent; we may assign to an affiliate or successor. If any provision is held invalid, the rest remains in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure), including Third-Party Platform failures, internet outages, government action, or armed conflict. These Terms are issued in Arabic and English; the Arabic version prevails in case of conflict.
